Welcome to https://www.taskspot.app, hosted by The Virdi Co., LLC ("The Virdi Co.," "The Virdi Company," "Virdi Company," "we," "us," and/or "our"), a Massachusetts limited liability company. We provide a minimalistic, cloud-based to-do planner and task management service. By accessing or using our service, you agree to comply with the following Terms and Conditions ("Terms").

If you do not agree with any part of these Terms, please refrain from accessing or using the service. These Terms apply to all visitors, users, and others who interact with TaskSpot. Your use of TaskSpot constitutes your acceptance of these Terms.

Eligibility: You must be at least 13 years of age to use TaskSpot. If you are under 18, you represent that you have your parent's or guardian's permission to use TaskSpot and that they have agreed to these Terms on your behalf.

1. Service Description

TaskSpot provides a cloud-based task management platform that allows users to organize, track, and manage their tasks. We offer both free and premium subscription plans. The features available to you depend on your selected plan. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice.

Service Availability: While we strive to provide continuous access to TaskSpot, we do not guarantee that the service will be available at all times. The service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

2. Subscriptions and Billing

TaskSpot offers subscription plans that grant access to specific features and benefits. Subscriptions will automatically renew at the end of the billing period unless canceled. You are responsible for canceling your subscription before the renewal date to avoid additional charges.

If you cancel your subscription, you will lose access to subscription benefits immediately upon cancellation. For details on managing subscriptions, please contact support@virdisoft.com.

Free Plan: TaskSpot offers a free plan with basic features. We reserve the right to modify the features available in the free plan at any time.

3. Price Changes

We reserve the right to modify subscription fees and product prices with 30 days' notice. Notifications will be provided via email or published on our website. Continued use of the service after price changes indicates acceptance of the updated fees. If you do not agree to the new pricing, you may cancel your subscription before the changes take effect.

4. Refunds

Monthly and bi-yearly subscriptions are non-refundable. Annual subscriptions may qualify for a full refund if canceled within 30 days of purchase or renewal. Refund requests should be submitted to support@virdisoft.com, including your order details. Refunds will be processed within 3–10 business days.

5. Inactive Accounts

Accounts inactive for over one year will be scheduled for deletion. Once deleted, data cannot be recovered. Avoid account deletion by logging in before the inactivity period ends. Email reminders may be sent to inactive users before deletion.

6. User Responsibilities and Acceptable Use

You agree to use TaskSpot in compliance with all applicable laws and regulations. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Prohibited Activities: You agree not to:

  • Use TaskSpot for any illegal purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to TaskSpot, other accounts, or computer systems connected to TaskSpot.
  • Interfere with or disrupt the service or servers or networks connected to the service.
  • Transmit any viruses, malware, or other harmful code.
  • Violate any intellectual property rights of The Virdi Co. or third parties.
  • Use automated systems (bots, scrapers) to access TaskSpot without our express written permission.
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity.
  • Collect or store personal data about other users without their consent.

Violation of these terms may result in immediate account termination without notice or refund.

7. Intellectual Property

All content, features, and functionality of TaskSpot, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of The Virdi Co. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you create or upload to TaskSpot ("User Content"). By using TaskSpot, you grant The Virdi Co. a worldwide, non-exclusive, royalty-free license to use, store, and display your User Content solely for the purpose of providing and improving TaskSpot.

You represent and warrant that you own or have the necessary rights to all User Content you provide to TaskSpot and that such content does not violate any third-party rights.

8. Indemnity

You agree to indemnify, defend, and hold harmless The Virdi Co., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of or access to TaskSpot.
  • Your violation of these Terms.
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
  • Any claim that your User Content caused damage to a third party.

9. Privacy Policy

Our Privacy Policy outlines how we collect, use, and protect your personal data. By using TaskSpot, you agree to the terms of our Privacy Policy, which is incorporated into these Terms by reference.

10. Links to Third-Party Websites

TaskSpot may include links to external websites or services. The Virdi Co. does not endorse or control third-party content and is not responsible for any loss or damage arising from their use. Use third-party services at your own discretion.

11. Termination of Access

We reserve the right to suspend or terminate your access to TaskSpot at any time, with or without cause or notice, for any violation of these Terms, suspected fraudulent activity, or for any other reason we deem necessary. You may terminate your account at any time by contacting support@virdisoft.com.

Upon termination, your right to use TaskSpot will immediately cease. We may delete your account and all associated data, subject to our Privacy Policy and applicable legal requirements. We are not liable to you or any third party for termination of your access to TaskSpot.

12. Disclaimers and Warranties

Service Provided "As Is": TaskSpot is provided on an "as is" and "as available" basis. The Virdi Co. makes no representations or warranties of any kind, express or implied, as to the operation of TaskSpot or the information, content, materials, or products included on TaskSpot.

To the fullest extent permissible by applicable law, The Virdi Co. disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that TaskSpot will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall The Virdi Co., its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use TaskSpot.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from TaskSpot.
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through TaskSpot by any third party.
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through TaskSpot.

In no event shall The Virdi Co.'s total liability to you for all damages exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

14. Force Majeure

The Virdi Co. shall not be liable for any failure or delay in performance under these Terms which is due to fire, earthquake, flood, act of God, act of war, terrorism, epidemic, pandemic, internet failure, or other causes which are beyond our reasonable control.

15. Changes to Terms

We may update these Terms at any time with at least 30 days' notice for material changes. Notifications will be provided via email or published on our website. Continued use of TaskSpot after updates indicates acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using TaskSpot and may terminate your account.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or TaskSpot shall be resolved exclusively in the state and federal courts located in Massachusetts, and you consent to the personal jurisdiction of such courts.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Virdi Co. regarding the use of TaskSpot and supersede all prior agreements and understandings, whether written or oral.
